1. Acceptance of Terms

Welcome to the NACCIMA-ODDO BHF Lending Scheme E-Portal ("the Portal"). This Portal is operated by the Nigerian Association of Chambers of Commerce, Industry, Mines, and Agriculture (NACCIMA). By accessing, browsing, registering, or submitting an application through this Portal, you ("the User" or "Applicant") agree to be bound by these Terms of Use, our Data Privacy Notice, and all applicable laws and regulations of the Federal Republic of Nigeria. If you do not agree with any part of these terms, you must discontinue the use of this Portal immediately.

2. Purpose of the Portal

The Portal serves as the exclusive digital platform for the submission, processing, and management of applications for the $150 million lending and financing support facility provided by ODDO BHF SE in partnership with NACCIMA.

3. User Registration and Account Security

• Eligibility: To register on this Portal, you must be a legally registered corporate entity in Nigeria and a recognized member of NACCIMA or an affiliated Business Membership Organization (BMO).
• Account Responsibility: You are required to create an account to submit a Request for Expression of Interest (REOI). You are entirely responsible for maintaining the confidentiality of your login credentials (username, password, and multi-factor authentication codes).
• Unauthorized Access: NACCIMA shall not be held liable for any loss or damage arising from unauthorized access to your account resulting from your failure to secure your credentials. You must notify us immediately at investment@naccima.com if you suspect any security breach.

4. Accuracy of Information and Acceptable Use

By submitting an application, you warrant that:

• All information, financial accounts, proforma invoices, and corporate documents uploaded to the Portal are authentic, accurate, current, and complete.
• You will not upload any false, misleading, or forged documentation.
• You will not use the Portal to transmit any viruses, malware, or destructive code that could compromise the E-Portal's infrastructure.
• You will not attempt to gain unauthorized access to the administrative backend of the Portal or other users' data.

Penalty for Fraud: Any discovery of fraudulent documentation will result in the immediate and permanent suspension of your account, disqualification from the lending scheme, and potential referral to relevant Nigerian law enforcement agencies.

5. Application Fees and Payments

• Certain stages of the application process may require the payment of a non-refundable administrative and due-diligence fee.
• All payments must be processed through the secure, integrated payment gateway on the Portal. NACCIMA will never request payment into personal accounts.
• Payment of the application fee does not guarantee the approval of your financing request.

6. Data Privacy and Cross-Border Transfers

Your use of this Portal is subject to the NACCIMA E-Portal Data Privacy Notice. By using the Portal, you explicitly consent to the collection, processing, and necessary cross-border transfer of your corporate and financial data (including to ODDO BHF SE in Germany and accredited third-party auditors) in strict accordance with the Nigeria Data Protection Act (NDPA) 2023.

7. Disclaimers and Limitation of Liability

• No Guarantee of Funding: The submission of an application via this Portal does not constitute a legally binding offer or a guarantee of financing from NACCIMA, the Joint Subcommittee, or ODDO BHF SE. All loan approvals are strictly subject to technical due diligence, financial audits, and final lender discretion.
• Portal Availability ("As Is"): While NACCIMA strives to ensure 99.9% uptime, the Portal is provided on an "as is" and "as available" basis. We do not warrant that the Portal will be uninterrupted, error-free, or completely immune to cyber threats.
• Limitation of Liability: To the maximum extent permitted by law, NACCIMA, its technical partners, and ODDO BHF SE shall not be liable for any indirect, incidental, or consequential damages, or loss of profits arising out of your use or inability to use the Portal, or from technical delays in processing applications.

8. Intellectual Property Rights

All content, design elements, software code, algorithms, logos, and trademarks displayed on this Portal are the exclusive intellectual property of NACCIMA, ODDO BHF SE, or their respective technical licensors. You may not reproduce, reverse-engineer, distribute, or create derivative works from any part of this Portal without prior written consent.

9. Modifications to the Portal and Terms

NACCIMA reserves the right to modify, suspend, or discontinue any functionality of the Portal at any time without prior notice. We may also revise these Terms of Use periodically. Continued use of the Portal following any modifications constitutes your acceptance of the revised Terms.

10. Governing Law and Dispute Resolution

These Terms of Use shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from the use of this Portal that cannot be resolved amicably through the NACCIMA Secretariat shall be subject to the exclusive jurisdiction of the competent courts in Nigeria.
